TERMS OF ENGAGEMENT FOR RECRUITMENT INTO THE X-FORCE BY MOSES TOBECHI NDUBUISI FOR ZILLION SECURITY LTD

Parties:
1. Zillion Security and Consultants Ltd (hereinafter referred to as “the Company”), a private limited liability company incorporated under the laws of the Federal Republic of Nigeria, with its registered office at [Insert Registered Address, Lagos, Nigeria], and carrying on business as a provider of security and consultancy services, represented herein by Moses Tobechi Ndubuisi, its Marketing Consultant (hereinafter referred to as “the Consultant”).
2. The Private Security Guard (hereinafter referred to as “the Guard”), whose details are set out in Schedule 1 hereto, being an individual recruited for engagement in the X-Force Squad.
Recitals:
WHEREAS the Company is engaged in the provision of private security services and maintains specialized squads, including the X-Force Squad, for enhanced operational deployments;
WHEREAS the Consultant, acting on behalf of the Company, has overseen the recruitment process for the X-Force Squad;
WHEREAS the Guard has applied for and been selected for recruitment into the X-Force Squad, subject to the terms herein;
WHEREAS the Guard agrees to abide by these Terms of Engagement, including the payment of a monthly service engagement fee as a condition of participation in the X-Force Squad;
NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties hereto agree as follows:
1. Definitions and Interpretation
1.1 In these Terms:
– “X-Force Squad” means the specialized unit of private security guards within the Company, designated for high-priority assignments requiring advanced training and coordination, recruited under the oversight of the Consultant.
– “Monthly Service Engagement Fee” means the sum of Three Thousand Naira (₦3,000.00) payable monthly by the Guard for continued engagement in the X-Force Squad.
– “Monthly Salary” means the gross remuneration payable to the Guard by the Company for services rendered, from which deductions may be made in accordance with these Terms and applicable laws.
– “Effective Date” means the date of execution of these Terms by both Parties.
1.2 Unless the context otherwise requires, words importing the singular shall include the plural and vice versa, and references to any gender shall include all genders.
1.3 These Terms shall be interpreted in accordance with the laws of the Federal Republic of Nigeria.
2. Engagement and Recruitment
2.1 The Company, through the Consultant, hereby engages the Guard as a member of the X-Force Squad, effective from the Effective Date, subject to the Guard’s successful completion of any probationary period, background checks, and training requirements as may be stipulated by the Company.
2.2 The Guard’s recruitment into the X-Force Squad is conditional upon the Guard’s acceptance of these Terms, including the obligation to pay the Monthly Service Engagement Fee.
2.3 The Guard shall be deployed for duties consistent with the role of a private security guard, including but not limited to patrolling, surveillance, access control, and emergency response, as directed by the Company or the Consultant on its behalf.
3. Duties and Obligations of the Guard
3.1 The Guard shall:
a. Perform all assigned duties diligently, professionally, and in compliance with the Company’s policies, the Private Guard Companies Act (Cap. P30, Laws of the Federation of Nigeria, 2004), and all applicable laws and regulations.
b. Maintain the highest standards of conduct, including punctuality, discipline, and adherence to security protocols.
c. Undergo periodic training and assessments as required by the Company for membership in the X-Force Squad.
d. Report any incidents, breaches, or concerns promptly to the designated supervisor or the Consultant.
e. Keep confidential all proprietary information of the Company and its clients.
3.2 The Guard shall not engage in any conduct that may bring the Company or the Consultant into disrepute or conflict with the interests of the Company.
4. Remuneration and Deductions
4.1 The Guard shall be entitled to a Monthly Salary as specified in Schedule 2 hereto, payable by the Company in arrears on the last working day of each month, subject to statutory deductions for the agreed monthly fee.
4.2 As a condition of engagement in the X-Force Squad, the Guard hereby authorizes and consents to the deduction of the Monthly Service Engagement Fee of ₦3,000.00 from the Monthly Salary. Such deduction shall be made automatically each month and reflected in the Guard’s payslip.
4.3 The Monthly Service Engagement Fee is non-refundable and shall be applied towards the costs associated with the Guard’s participation in the X-Force Squad under the oversight of the consultant.
4.4 In the event of any dispute regarding deductions, the Guard shall notify the Company in writing within seven (7) days of receipt of the payslip, failing which the deduction shall be deemed accepted.
5. Term and Termination
5.1 These Terms shall commence on the Effective Date and continue until terminated in accordance with this Clause.
5.2 The Company may terminate the Guard’s engagement in the X-Force Squad at any time:
a. For cause, including but not limited to misconduct, breach of these Terms, or failure to meet performance standards, with immediate effect and without notice.
b. Without cause, upon giving one (1) month’s written notice or payment in lieu thereof.
5.3 The Guard may terminate their engagement upon giving one (1) month’s written notice to the Company.
5.4 Upon termination, the Guard shall return all Company property, including uniforms, identification cards, and equipment, and shall not be entitled to any further payments except for accrued but unpaid salary, less any outstanding deductions.
5.5 Non-payment of the Monthly Service Engagement Fee for two (2) consecutive months shall constitute a material breach, entitling the Company to terminate the Guard’s membership in the X-Force Squad without prejudice to other remedies.
6. Confidentiality and Non-Competition
6.1 The Guard undertakes to maintain the confidentiality of all sensitive information acquired during the engagement, including client details, operational strategies, and trade secrets, both during and after the term of engagement.
6.2 For a period of twelve (12) months following termination, the Guard shall not directly or indirectly compete with the Company by providing similar security services within Lagos State or solicit the Company’s clients or employees.
7. Indemnity and Liability
7.1 The Guard agrees to indemnify the Company and the Consultant against any losses, claims, or liabilities arising from the Guard’s negligence, willful misconduct, or breach of these Terms.
7.2 The Company’s liability under these Terms shall be limited to the extent permitted by law, and in no event shall the Company or the Consultant be liable for indirect, consequential, or punitive damages.
8. Governing Law and Dispute Resolution
8.1 These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
8.2 Any disputes arising out of or in connection with these Terms shall be resolved amicably through negotiation. Failing resolution, the dispute shall be referred to arbitration in Lagos under the Arbitration and Mediation Act, 2023, with a single arbitrator appointed by mutual agreement or, failing that, by the Lagos Multi-Door Courthouse.
9. Miscellaneous
9.1 These Terms constitute the entire agreement between the Parties and supersede any prior understandings.
9.2 No variation of these Terms shall be effective unless in writing and signed by both Parties.
9.3 If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
9.4 These Terms may be executed in counterparts, each of which shall be deemed an original.
